Vigil Mechanism & Whistle Blower Policy

1. Introduction

  1. 1.1 The Society is committed to promoting ethical conduct, transparency, and accountability among all members, including the Board of Directors, CEO, employees, volunteers, and contractors.
  2. 1.2 The Society has established this policy to facilitate reporting of suspected fraud, corruption, or unethical conduct and to protect whistleblowers from retaliation or victimization.

2. Objectives

  1. 2.1 Encourage and facilitate reporting of suspected fraud, corruption, or unethical conduct.
  2. 2.2 Ensure that all reports are thoroughly investigated and appropriate action is taken.
  3. 2.3 Protect whistleblowers from retaliation or victimization.

3. Scope

  1. 3.1 This policy applies to all members of Winners Royal Varsha Credit Cooperative Society Limited, including the Board of Directors, CEO, employees, volunteers, and contractors.

4. Reporting Procedure

  1. 4.1 Any member may report suspected fraud, corruption, or unethical conduct by submitting a written complaint to the Society designated Whistle Blower Officer.
  2. 4.2 The complaint should include the nature of the suspected misconduct, identity of involved persons if known, and supporting evidence or documentation.
  3. 4.3 Complaints may be anonymous, but anonymous complaints must contain sufficient information for a meaningful investigation.

5. Investigation and Follow-Up

  1. 5.1 All complaints will be thoroughly investigated by the Whistle Blower Officer or designated investigator in a confidential and objective manner.
  2. 5.2 If misconduct is confirmed, appropriate action may include disciplinary action, termination of membership, or legal action.
  3. 5.3 The complainant will be kept informed of progress and outcome where feasible and appropriate, while preserving necessary confidentiality.

6. Protection Against Retaliation

  1. 6.1 The Society prohibits retaliation against any member who reports suspected fraud, corruption, or unethical conduct in good faith.
  2. 6.2 Any member who engages in retaliation or victimization will be subject to disciplinary action, which may include termination of membership or legal action.

7. Audit Committee

  1. 7.1 The Society shall constitute an Audit Committee of at least three members to receive and review complaints, conduct investigations, determine appropriate action, and report to the Board of Directors.
  2. 7.2 The Audit Committee shall maintain confidentiality of complaints and investigations to protect privacy and rights of all parties.

8. Review and Revision

  1. 8.1 This policy shall be reviewed periodically by the Board of Directors to ensure relevance and effectiveness.
  2. 8.2 Necessary updates or revisions shall be made in accordance with the Act and relevant laws and regulations.
  3. 8.3 This policy aims to create a culture of transparency and accountability and promote the highest standards of ethical conduct.
